Sample NDA
Confidentiality is fundamental to certified translation. Many of the documents we handle — contracts, financial records, personal files, tender materials — are sensitive, and clients are entitled to know exactly how their information is protected. Below is a plain-language summary of the mutual non-disclosure terms we work under, provided as a sample so you can see our commitment before you upload anything.
This page is an illustrative sample for information only and is not, by itself, a signed agreement. We are glad to execute a formal NDA — ours or your organization’s own — before any documents are exchanged. Contact us to arrange one.
1. Purpose
This sample sets out the basis on which Adalet Tercüme (“the Service Provider”) and the Client agree to protect confidential information disclosed for the purpose of providing translation and certification services (“the Purpose”).
2. Definition of Confidential Information
“Confidential Information” means any information disclosed by one party to the other in connection with the Purpose, whether written, electronic or oral, including the content of documents submitted for translation, personal data contained in them, commercial terms, and any material a reasonable person would understand to be confidential. It excludes information that is already public through no breach of this agreement, that the receiving party already lawfully held, or that must be disclosed by law.
3. Obligations of the Receiving Party
- To use Confidential Information solely for the Purpose and for no other reason.
- To restrict access to those personnel who need it to deliver the service, each bound by equivalent confidentiality obligations.
- To protect Confidential Information with at least the same care applied to its own sensitive information, using encrypted transfer and controlled access.
- Not to disclose Confidential Information to any third party without the disclosing party’s consent, except a notary, apostille authority or courier strictly as required to complete a requested service.
4. Sworn Translators’ Duty
Our sworn translators are independently bound to professional confidentiality. The obligations in this sample reinforce, and do not replace, that duty.
5. Data Protection
Handling of personal data within Confidential Information is governed by KVKK and GDPR and by our Privacy Policy. Confidential Information is processed only for the Purpose and retained no longer than necessary.
6. Return or Destruction
On completion of the Purpose, or on request, the receiving party will return or securely destroy Confidential Information, subject to any legal obligation to retain certain records.
7. Term
Confidentiality obligations continue during the engagement and for an agreed period afterwards, regardless of whether a specific order proceeds.
8. Governing Law
A formal agreement based on this sample is governed by the laws of the Republic of Türkiye. To put a signed NDA in place tailored to your needs, get in touch.
Why We Publish This
Most clients are asked to upload sensitive material before they have any signed assurance of how it will be treated. Publishing our confidentiality terms openly is meant to reverse that: you can read exactly what we commit to before a single file changes hands. It reflects a simple belief — that trust should be earned before documents are exchanged, not merely promised after.
Your Agreement or Ours
The sample above describes the mutual terms we work under by default, but we are entirely comfortable signing your organization’s own NDA and data-processing terms instead of, or in addition to, our own. Corporate clients frequently require their standard agreement, and we accommodate that as a matter of course. Either way, a formal, signed instrument can be in place before any material is shared.
